1. Introduction
Welcome to WhatCourseLMS. These terms and conditions govern your use of our
learning management system. By accessing or using WhatCourseLMS, you agree to
comply with and be bound by these terms and conditions. If you do not agree with any
part of these terms, please do not use our services.
2. Definitions
“Platform” refers to WhatCourseLMS and all its associated services, websites, and
applications.
“User” refers to anyone who accesses or uses the Platform, including administrators,
instructors, and students.
“We,” “us,” and “our” refer to WhatCourseLMS.
3. User Accounts
3.1 Registration: To access certain features of the Platform, you must register for an
account. You agree to provide accurate and complete information during registration
and to keep this information up to date.
3.2 Account Security: You are responsible for maintaining the confidentiality of your
account credentials and for all activities that occur under your account. You agree to
notify us immediately of any unauthorised use of your account.
3.3 Account Termination: We reserve the right to suspend or terminate your account at
any time, without notice, for any reason, including breach of these terms.
4. Use of the Platform
4.1 Licence: We grant you a limited, non-exclusive, non-transferable licence to access
and use the Platform for its intended purposes, subject to these terms and conditions.
4.2 Prohibited Activities: You agree not to:
• Use the Platform for any unlawful purpose.
• Disrupt or interfere with the security or functionality of the Platform.
• Upload or distribute any harmful or malicious content.
• Attempt to gain unauthorised access to any part of the Platform or its systems.
• Use the Platform to harass, abuse, or harm others.
4.3 Content: You retain ownership of the content you upload to the Platform. By
uploading content, you grant us a non-exclusive, worldwide, royalty-free licence to use,
display, and distribute your content on the Platform
5. Fees and Payments
5.1 Subscription Fees: Access to WhatCourse LMS require payment of subscription
fees. Subscription fees are charged on a recurring basis (e.g., monthly, annually) as
selected during the registration or renewal process. You agree to pay all applicable fees
in accordance with the following terms, also set out at the time of purchase.
5.2 Upfront Costs: Some services may require upfront costs, such as setup fees or
initial consultation fees. These costs are one-time payments and are due upon signing
the service agreement or initiating the service.
5.3 Payment Methods: We accept various payment methods as specified on the
Platform. You agree to provide accurate payment information and authorise us to
charge the specified payment method for all fees due. All fees are quoted and payable
in GBP (British Pounds Sterling) unless otherwise specified.
5.4 Late Payments
5.4.1 Late Payment Policy: If payment for subscription fees or upfront costs is
not received by the due date, a late payment fee may be applied. The late
payment fee is £27 per month on the outstanding balance.
5.4.2 Notification: We will send a reminder notice to the registered email address
if payment is not received by the due date. It is your responsibility to ensure that
your contact information is up to date.
5.4.3 Suspension of Services: Failure to pay overdue fees within 7 days of the
due date may result in suspension of access to WhatCourse LMS until
outstanding payments are settled.
5.3.4 Reactivation: Services will be reinstated upon receipt of full payment of
outstanding fees, including any applicable late payment fees.
5.4 Refunds: Fees are non-refundable except as required by law or as otherwise stated
in our refund policy.
Refunds are available under the following conditions:
5.4.1 Subscription Fees: Refunds for subscription fees are only available if the
request is made within 14 days of the initial payment and if you have not
accessed any premium content or features during that period.
5.4.2 Content Creation/Upload Fees: Refunds for content creation or upload
fees are not available once the service has commenced.
5.4.3 One-off Upfront Costs: Refunds for one-off upfront costs are not available
once the service has commenced, except in cases where the service has not
been delivered as agreed.
5.4.4 Technical Issues: If you experience technical issues that prevent you from
using the Platform and we are unable to resolve these issues within a reasonable
time, you may be eligible for a refund of the unused portion of your subscription.
Non-Refundable Items. The following items are non-refundable:
5.4.5 Fees paid for customised services or bespoke solutions.
5.4.6 Fees paid for training sessions, workshops, or consultations once these
services have been provided.
5.4.7 Any other services explicitly stated as non-refundable at the time of
purchase.
How to Request a Refund. To request a refund, please follow these steps:
5.4.8 Contact Finance Support: Send an email to our support team at
finance@whatcourse.co.uk with the subject line “Refund Request.” Include your
account details, the reason for the refund request, and any relevant supporting
information.
5.4.9 Review Process: Our team will review your request and may contact you for
further information or clarification. We aim to process all refund requests within
14 business days.
5.4.10 Decision Notification: You will be notified of the outcome of your refund
request via email. If approved, the refund will be processed using the original
payment method.
Refund Processing
5.4.11 Timeframe: Approved refunds will be processed within 14 business days
of the approval notification.
5.4.12 Payment Method: Refunds will be issued using the same payment method
used for the original transaction. Please note that it may take additional time for
the refunded amount to appear in your account, depending on your bank or
payment provider.
Disputes and Chargebacks
5.4.13 We encourage you to contact us directly with any concerns before
initiating a chargeback with your bank or payment provider.
Unauthorised chargebacks may be considered a violation of this refund policy and may result
in the suspension or termination of your account.
Changes to This Refund Policy
5.4.14 We may update this refund policy from time to time. Any changes will be
posted on this page, and we will notify you of significant changes by email or
through the Platform. Your continued use of WhatCourseLMS after any changes
signifies your acceptance of the updated refund policy.
5.5 Subscription Cancellation
5.5.1 Cancellation Process: You may cancel your subscription to WhatCourse
LMS at any time by logging into your account and following the cancellation
instructions provided on the platform.
5.5.2 Effective Date: Cancellation will be effective immediately upon completion
of the cancellation process. Access to premium features will continue until the
end of the current billing cycle.
5.5.3 No Refund: Subscription fees already paid are non-refundable, except as
provided under the Refund Policy for specific circumstances outlined therein.
5.6 Service Cancellation
5.6.1 Consultation Services: For services requiring consultation or
customisation, cancellation requests must be submitted in writing to
WhatCourse LMS.
5.6.2 Upfront Costs: Upfront costs, such as setup fees or initial consultation
fees, are non-refundable once services have commenced, unless otherwise
specified in the service agreement.
6. Intellectual Property
6.1 Ownership: The Platform and all content, features, and functionality (excluding user-
generated content) are owned by WhatCourseLMS and are protected by intellectual
property laws. You agree not to copy, modify, distribute, or create derivative works
based on the Platform without our prior written consent.
6.2 Trademarks: WhatCourseLMS and all related logos and names are trademarks of
WhatCourseLMS. You may not use these trademarks without our prior written consent.
7. Privacy
7.1 Your use of the Platform is subject to our Privacy Policy, which outlines how we
collect, use, and protect your personal information. By using the Platform, you consent
to our data practices as described in WhatCourse LMS’ Privacy Policy.
8. Disclaimers and Limitation of Liability
8.1 No Warranty: The Platform is provided on an “as is” and “as available” basis. We
make no warranties, express or implied, regarding the Platform, including but not
limited to its accuracy, reliability, or availability.
8.2 Limitation of Liability: To the maximum extent permitted by law, WhatCourseLMS
shall not be liable for any indirect, incidental, consequential, or punitive damages
arising out of or related to your use of the Platform, even if we have been advised of the
possibility of such damages.
9. Indemnification
9.1 You agree to indemnify, defend, and hold harmless WhatCourseLMS, its affiliates,
officers, directors, employees, and agents from and against any claims, liabilities,
damages, losses, and expenses, including reasonable legal fees, arising out of or
related to your use of the Platform or any violation of these terms.
10. Termination
10.1 Termination by You: You may terminate your account at any time by following the
instructions on the Platform. Upon termination, you must cease all use of the Platform.
Termination is subject to the terms stated in your terms of contract signed upon
registration.
10.2 Termination by Us: We may terminate or suspend your account and access to the
Platform at our sole discretion, without notice, for conduct that we believe violates
these terms or is harmful to other users, us, or third parties.
10.3 Effect of Termination: Upon termination, your right to use the Platform will
immediately cease. Any provisions of these terms that by their nature should survive
termination will survive, including but not limited to ownership provisions, warranty
disclaimers, indemnity, and limitations of liability.
11. Miscellaneous
11.1 Entire Agreement: These terms constitute the entire agreement between you and
WhatCourseLMS regarding the use of the Platform and supersede all prior agreements
and understandings, whether written or oral.
11.2 Severability: If any provision of these terms is found to be invalid or unenforceable,
the remaining provisions will remain in full force and effect.
11.3 Waiver: Our failure to enforce any right or provision of these terms will not be
considered a waiver of those rights.
11.4 Assignment: You may not assign or transfer any of your rights or obligations under
these terms without our prior written consent. We may assign or transfer any of our

12. Changes to Terms
12.1 We may update these terms and conditions from time to time. Any changes will be
posted on this page, and we will notify you of significant changes by email or through
the Platform. Your continued use of the Platform after any changes signifies your
acceptance of the updated terms.

13.1 These terms and conditions are governed by and construed in accordance with the
laws of the United Kingdom. Any disputes arising out of or related to these terms shall
be subject to the exclusive jurisdiction of the courts of the United Kingdom.
